Summary

The Counsel will be responsible for management, collaboration and coaching of various company employees across all business units.

This is a key role for the organization with responsibilities encompassing incensing, negotiating agreements, working directly with internal and external stakeholders and will report to the VP of Legal. The role will interface with marketing, creative, licensing and sales, and outside partners including outside counsel and key licensed partners.

 Responsibilities

• Prepare, revise, and negotiate a range of media and merchandise license agreements, amendments, NDAs, and various other agreements as well as notices and other legal documents
• Review marketing materials and programs (including social media posts, influencer agreements, website materials, sweepstakes programs); advise marketing team in accordance with FTC guidance, COPPA, and other applicable laws and regulations
• Assist with keeping contract management system up to date on all contract activities and assist with other required updates
• Assist with global brand protection and enforcement activities including reviewing reports of infringement, cease and desist letters, and escalating as appropriate
• Review certificates of insurance from licensees and partners and maintain filing for the same
• Sense of confidentiality and respect regarding sensitive company and employee information
• Provide general assistance to the Legal, marketing, finance and licensing teams

Experience Required:

• 5 to 8 years of relevant legal experience in-house
• Well-versed with IP licensing, marketing, and/or talent agreements
• Familiarity with copyright and/or rights of publicity
• Working knowledge of regulations and best practices related to marketing, data security and privacy compliance
• Previous supervisory experience is required in addition to having direct reports
• Interest in developing proactive solutions and building processes
• Strong written and verbal communication skills; ability to interface with all levels of company employees

 Education Required:

•  J.D. degree and CA-licensed attorneys with a minimum of five years of licensing, compliance and copyright experience will be considered.
